Terms of Service & End User License Agreement for Inertia Planner

1. Acceptance of Terms

By creating an account or using Inertia - Planner ("the App"), you agree to these Terms

If you disagree with any part, you must not use the App

We may update these Terms; continued use means acceptance of changes

2. Age Requirements & COPPA Compliance

You must be at least 13 years old to use this App

By creating an account, you confirm you meet this age requirement

Parents/guardians are responsible for minor's use (13-17 years old)

We do not knowingly collect data from users under 13

3. End User License Agreement (EULA)

3.1 License Grant

Inertia Software LLC grants you a limited, non-exclusive, non-transferable, revocable license to use the App

For personal, non-commercial use only

One license per Apple ID/Google account

3.2 License Restrictions - You may NOT:

• Reverse engineer, decompile, or disassemble the App
• Copy, modify, or create derivative works
• Sell, rent, lease, or sublicense the App
• Use for illegal purposes or violate any laws
• Remove any proprietary notices or labels
• Use automated systems to access the App

3.3 Intellectual Property

All content, features, and functionality remain property of Inertia Software LLC

Protected by copyright, trademark, and other laws

"Inertia" and associated logos are our trademarks

4. User Accounts

You're responsible for maintaining account security

Must provide accurate, current information

One account per person

You're responsible for all activity under your account

Must notify us immediately of unauthorized access

5. User Content & Data

You retain ownership of content you create in the App

You grant us license to store, backup, and sync your data

We don't claim ownership of your schedules, tasks, or notes

You're responsible for backing up your important data

6. Subscription & Payments

Some features require paid subscription

Payments processed through App Store/Google Play

Subscriptions auto-renew unless cancelled 24 hours before period ends

No refunds except as required by law or platform policies

Free trial converts to paid unless cancelled

7. Acceptable Use Policy

You agree NOT to:

• Violate any laws or regulations
• Upload malicious code or viruses
• Attempt to gain unauthorized access
• Harass, abuse, or harm other users
• Create multiple accounts to abuse free trials
• Use the App for any illegal or unauthorized purpose

8. Privacy & Data Protection

Your use is also governed by our Privacy Policy

We collect and use data as described in Privacy Policy

By using the App, you consent to such collection and use

We implement reasonable security measures

9. Termination

We may terminate/suspend your account for Terms violations

You may delete your account at any time

Upon termination, license to use App ends immediately

Sections that should survive termination will remain in effect

10. Disclaimers & Limitations of Liability

10.1 "As Is" Disclaimer

App provided "AS IS" and "AS AVAILABLE"

No warranties, express or implied

We don't guarantee the App will be error-free or uninterrupted

Use at your own risk

10.2 Limitation of Liability

To maximum extent permitted by law, Inertia Software LLC shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Lost profits, data loss, or business interruption
• Total liability limited to amount you paid in past 12 months

10.3 No Professional Advice

App is for personal organization only

Not a substitute for professional advice (medical, legal, financial, academic)

We're not responsible for decisions made based on App use

11. Indemnification

You agree to indemnify and hold harmless Inertia Software LLC from claims arising from:

• Your use of the App
• Violation of these Terms
• Violation of any third-party rights

12. Third-Party Services

App may integrate with third-party services (calendars, etc.)

We're not responsible for third-party services

Your use of them is governed by their terms

13. Updates & Modifications

We may update the App periodically

Some updates may be required for continued use

We may modify or discontinue features without notice

14. Export Control

You comply with all export laws and regulations

Won't use or export App in violation of U.S. laws

15. Governing Law & Disputes

Governed by laws of Colorado, USA

Disputes resolved in courts of Denver County, Colorado

You waive right to jury trial

Must bring claims within one year

16. Severability

If any provision is unenforceable, remainder continues in effect

Unenforceable provision modified to be enforceable

17. Entire Agreement

These Terms constitute entire agreement

Supersedes all prior agreements

No waiver unless in writing
